CONFIDENTIALITY AGREEMENT

WHEREAS, in the course of such submissions being made herein by Submitter and any subsequent discussions, The Sidewinder Crank Company (Recipient) will be in receipt of confidential information including, but not limited to, ideas, designs, trade secrets, production methods, customer and potential customer lists, whether in written or oral form and including the fact that discussions are taking place with respect thereto or the status hereof (herein collectively referred to as "Confidential Information"); and

WHEREAS, Submitter is willing to disclose Confidential Information to Recipient for the purposes and conditions set forth;

NOW THEREFORE, in consideration of the disclosure of the Confidential Information contemplated hereby and the premises contained herein, and intending to be legally bound hereby, Recipient hereby agrees as follows:

1. Unless otherwise required by law, Recipient will protect the Confidential Information of Submitter from disclosure to unauthorized third parties, and will not use any Confidential Information disclosed to it, except for the purposes consistent with Recipient's consideration of a possible development/licensing agreement or other business transaction. This Confidentiality Agreement shall encompass all Confidential Information, whether disclosed to Recipient prior to or subsequent to the submission of information through this site.

2. Information in the public domain or generally available to the industry at the time it is disclosed, or information which, after its disclosure, falls into the public domain or becomes generally available to the industry otherwise than by breach of this Confidentiality Agreement, shall not be deemed to be Confidential Information hereunder.

3. Communications within Recipient and between Recipient and its representatives including legal, financial, and design advisors, concerning the Confidential Information shall be limited to those persons who are authorized to have access to such Confidential Information, and with respect to all such persons, Recipient agrees to require them to comply with this Confidentiality Agreement.

4. This Confidentiality Agreement, and its performance, shall be construed under and in accordance with the laws of the State of Colorado and shall be binding upon the Recipient and its successors, and shall inure to the benefit of Submitter and its successors and assigns.

IN WITNESS WHEREOF, Recipient, by its duly authorized representative, and by virtue of receipt of the above site submission, is deemed to have executed this Confidentiality Agreement on the day and year of the submission.
